Terms of Service

1. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on the Services and updating the "Last Updated" date above, and we may also notify you by email or within the Services. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services and cancel your subscription.

2. Eligibility and Personal Use

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Services. The Services are intended for your personal, non-commercial use to manage your own finances. You may only connect financial accounts that you own or are legally authorized to access. We may suspend or terminate accounts that do not meet these requirements.

3. The Services Are Not Financial Advice

The Services provide tools to view, organize, and analyze your financial information, including budgeting, spending analysis, and planning and projection features. Any projections, scenarios, or other forward-looking outputs are hypothetical illustrations based on your inputs and assumptions. They are not predictions or guarantees of future results, and actual results will differ. Where the Services present a range of possible outcomes, that range reflects modeled assumptions, not the likelihood of any actual outcome.

Preso is not a registered investment adviser, broker-dealer, tax advisor, accountant, or law firm, and does not provide individualized advice of any kind. You are solely responsible for your financial decisions. Before making decisions with financial, tax, or legal consequences, consult a qualified professional.

Certain features of the Services use artificial intelligence to generate content in response to your data and inputs. AI-generated content may be incomplete, inaccurate, or outdated, and is provided for informational purposes only. You should independently verify any AI-generated output before relying on it.

4. Your Account

You must register for an account to use the Services. You agree to provide accurate, current information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Do not share your credentials with anyone. Notify us immediately at support@presobudget.com of any unauthorized use of your account or other breach of security. We are not liable for losses arising from unauthorized use of your account that is not the result of our negligence or willful misconduct.

5. Connecting Financial Accounts

The Services use Plaid Technologies, Inc. ("Plaid") to connect to your financial institutions. When you connect an account, you provide your financial institution credentials directly to Plaid — Preso never receives or stores those credentials. By connecting an account, you grant Preso and Plaid the right, power, and authority to act on your behalf to access and transmit your personal and financial information from the relevant financial institution, and you agree to your information being transferred, stored, and processed by Plaid in accordance with the Plaid End User Privacy Policy, available at https://plaid.com/legal.

You represent that you own, or are authorized to access, each financial account you connect. Financial data retrieved through Plaid depends on your financial institution and may be delayed, incomplete, or inaccurate. We do not guarantee the accuracy, timeliness, or completeness of financial data displayed in the Services, and you should confirm balances and transactions with your financial institution before relying on them.

6. Subscriptions, Billing, and Free Trials

Access to the Services requires a paid subscription. Payments are processed by Stripe, Inc. ("Stripe"); by providing payment information, you authorize us and Stripe to charge your payment method the applicable subscription fees, and you agree to Stripe's terms and privacy policy. Subscription fees are billed in advance, and your subscription renews automatically at the end of each billing period unless you cancel.

You may cancel at any time through your account settings. Cancellation takes effect at the end of your current billing period; you retain access until then. Except where required by law, fees are non-refundable, including for partial billing periods. If you believe you were charged in error, contact support@presobudget.com within thirty (30) days of the charge and we will investigate promptly. If a payment fails, we may suspend your access until payment is successfully processed.

We may offer free trials at our discretion. Free trials are limited to one per customer (identified primarily by email address), may be modified or discontinued at any time, and convert to a paid subscription at the end of the trial unless you cancel first. We may deny trial access where we detect attempts to circumvent trial limitations.

We may change subscription pricing with at least thirty (30) days' notice posted on the Services or sent to your registered email address. Price changes apply to subsequent billing periods only. All payments are processed in U.S. dollars.

7. Privacy

Our collection, use, and disclosure of your information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the practices described in the Privacy Policy.

8. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose, including fraud or financial crimes;

• Connect financial accounts you do not own or are not authorized to access;

• Share your credentials or permit unauthorized access to your account;

• Probe, scan, or test the vulnerability of the Services, or attempt to gain unauthorized access to any systems or data;

• Use automated tools to scrape the Services or interfere with their operation;

• Copy, modify, reverse engineer, or create derivative works of the Services, except as permitted by law.

We may investigate suspected violations and take appropriate action, including suspending or terminating your account and reporting to law enforcement.

9. Intellectual Property

The Services, including all software, designs, text, graphics, logos, and other content and materials (excluding your data), are owned by Preso or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal use. No other rights are granted.

If you provide feedback or suggestions about the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

10. Electronic Communications

These Terms are an electronic contract. You consent to receive communications from us electronically — including by email to your registered address and by notices posted within the Services — and you agree that electronic communications satisfy any legal requirement that communications be in writing. To use the Services you need a device with internet access and access to the email address you registered with. You may print or save a copy of these Terms for your records.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT FINANCIAL DATA DISPLAYED IN THE SERVICES WILL BE ACCURATE, COMPLETE, OR CURRENT; OR THAT ANY PROJECTION, ANALYSIS, OR AI-GENERATED OUTPUT WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PRESO OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, ANY FINANCIAL DECISIONS MADE IN RELIANCE ON THE SERVICES, ANY ERRORS OR OMISSIONS IN FINANCIAL DATA OR OTHER CONTENT, OR ANY UNAUTHORIZED ACCESS TO YOUR INFORMATION, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless Preso and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) financial accounts you connect without proper authorization. We reserve the right to assume the exclusive defense of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

14. Termination

You may stop using the Services and cancel your subscription at any time through your account settings. We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms, if required by law, or if we discontinue the Services. Upon termination, your license to use the Services ends and any unpaid fees become due. Your information will be retained or deleted as described in our Privacy Policy. Provisions of these Terms that by their nature should survive termination — including Sections 3, 9, and 11 through 17 — will survive.

15. Dispute Resolution: Arbitration and Class Action Waiver

You and Preso agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a "Dispute") will be resolved exclusively through final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court — except that either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive relief in court for infringement or misuse of intellectual property rights. The arbitration will be conducted by a single arbitrator in the county where you reside or another mutually agreed location, or by videoconference. The arbitrator may award the same relief available in court on an individual basis, and the arbitrator's award may be entered as a judgment in any court of competent jurisdiction.

CLASS ACTION WAIVER: ALL DISPUTES MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF CLASS PROCEEDING.

Opt-out: You may opt out of this arbitration provision by emailing support@presobudget.com within thirty (30) days of first accepting these Terms, with your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out of arbitration does not affect any other provision of these Terms.

16. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. For any Dispute not subject to arbitration, you and Preso consent to the exclusive jurisdiction of the state and federal courts located in San Francisco, California. To the extent permitted by law, any claim arising out of or relating to the Services must be commenced within one (1) year after the claim arises, or it is permanently barred.

17. General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Preso regarding the Services and supersede all prior agreements on that subject. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Section titles are for convenience only.
